The Board is comprised of an Executive Committee and five Committees: (1) Audit; (2) Board Project Review; (3) Finance; (4) Governance, Nominating and Human Resources; and (5) Government Relations. Each Board member participates in one or two Committees. The work of the Board is primarily done through the Committees, making recommendations to the full Board for approval. Conservation and strategic issues, such as conservation strategies, marketing, philanthropy, and policy, are managed by the full Board.
The Audit Committee assists the Board in its oversight of the integrity of the financial statements, compliance with legal and regulatory requirements and ethical standards, and the independence and performance of the internal and independent auditors.
Board Project Review Committee
The Board Project Review Committee comprises of the Chairs of Audit, Finance, and Conservation Activities Review Committees. The Committee reviews conservation projects that require approval of at least two of these Committees prior to submission to the full Board.
The Finance Committee assists the Board in its oversight of the management of organization's financial assets, reviews and recommends approval of an annual operating budget, regularly reviews financial results, and ensures the maintenance of an appropriate capital structure.
Governance, Nominating and Human Resources Committee
The Governance, Nominating, and Human Resources Committee assists the Board in its oversight of matters relating to the composition, organization and effectiveness of the Board and its committees; oversees compensation and benefits policies, performance and compensation of senior executives, and succession planning and organization changes.
Government Relations Committee
The Government Relations Committee serves to advise and engage on TNC efforts to direct government spending and regulatory policy in support of TNC’s mission. The Committee advises on how TNC can anticipate and adjust to public policy trends and be an important contributor to the global policy dialogue.
