At closing, the buyer will be required to convey to the Conservancy a conservation easement as described below. In the alternative, the sale to the buyer will be subject to the Conservancy retaining an option to acquire the described conservation easement. The Conservancy will exercise its option if the buyer has not conveyed a conservation easement satisfactory to the Conservancy prior to the expiration of the option period or if actions are taken during the option period by the buyer with respect to the property that are inconsistent with the conservation of the property.

Description
The Moose River property is a 40,000 acre tract of forest land near Jackman, Maine, surrounding the State's Moose River/No. 5 Bog Ecological Reserve. It has been managed as a working forest for well over 100 years. It has good access and rolling terrain, with a mixed forest predominantly comprised of spruce, fir, birch and maple.

Primary Conservation Objective
The Moose River/Number 5 Bog region encompasses one of Maine's largest and most ecologically significant wetland complexes as well as the remote undeveloped river shoreline of the Moose River and surrounding unfragmented forest. The Nature Conservancy has ranked the land as a high priority focus area within Maine's north woods due to its aquatic resources and surrounding unfragmented forest. The conservation area includes exemplary natural communities including Jack Pine Forest, Patterned Fen Ecosystem, Red and White Pine Forest and Spruce-Fir Northern Hardwood forest.

Biodiversity Highlights
The Moose River conservation buyer parcel will provide a significant buffer to the Moose River and Number 5 Bog ecological reserve area. Number 5 Bog has been designated a National Natural Landmark and the Moose River canoe trip is one of the most popular destinations due to its remote wilderness character and scenic wildlife habitat. The land consists primarily of relatively unfragmented managed forest dominated by mixed spruce-fir and northern hardwoods. There are also several remote ponds, trout streams and wetlands.

Qualifications and Restrictions
Development limited to that association with forestry or recreation only.Prohibition of new commercial, industrial and residential uses. Strict limits on subdivision. Sustainable forest management required. Protection of ecological sustainability. Preference will be given to transactions involving any additional arrangements that buyer may propose to maximize the Conservancy's conservation objectives in Maine or elsewhere. Note: property is subject to wood supply agreement and is contingent on a regulatory approval from Maine's Land Use Regulation Commission, which is expected around January, 2008.
